Agreement

These Terms of Service ("Terms") govern your access to and use of the Springary website, point of sale software, online ordering platform, hosted storefronts, and related services (collectively, the "Service"), operated by Springary, Inc. ("Springary," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are agreeing on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business. If you do not agree, you may not use the Service.

The short versionSpringary is free to use. Your shop's data is yours and you can take it with you. We only earn money if you choose our built-in card processing. Run your shop honestly and we'll stay out of your way.

The Service

Springary is an all-in-one platform for flower shops that includes point of sale, online ordering and hosted storefronts, delivery management, inventory, weddings and events, customer loyalty, analytics, and AI-assisted tools. We provide the software; you operate your shop.

We may add, modify, suspend, or discontinue any part of the Service at any time. Where a change materially reduces functionality you rely on, we will make reasonable efforts to notify you in advance and to provide an export path for any affected data.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to create a Springary merchant account. Staff users you invite must be at least 16 years old and must be authorized by you to act on your shop's behalf.

By using the Service, you represent that you have the legal capacity to enter into these Terms, that your business is lawfully operated, and that all information you provide is accurate and current.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity by staff users you invite. You are responsible for setting appropriate roles and permissions for your staff and for removing access promptly when someone leaves your shop.

Notify us immediately at [email protected] if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service, to other users, or to shoppers.

Free plan & fees

The Springary platform is free to use. That includes every module, unlimited products and customers, and unlimited staff logins. There is no subscription fee, no per-terminal fee, and no credit card required to sign up.

We earn revenue only when you choose to process card payments through our built-in gateway, at the rates published on our pricing page. If you bring your own processor, you pay us nothing.

Processing rates, and any optional paid add-ons we may offer in the future, are disclosed before you enable them. We will give at least 30 days' notice before increasing a rate that applies to you. Continuing to process payments after a rate change takes effect constitutes acceptance of the new rate; if you do not accept it, you may switch processors or stop using the gateway.

You are responsible for all taxes associated with your sales, including collecting and remitting sales tax. Springary provides tax settings and reports as a convenience, not as tax advice.

Payment processing

Card payments taken through Springary are processed by our PCI-compliant payment partners. To accept payments you must complete their onboarding and underwriting requirements, and you agree to their terms in addition to these Terms.

Funds from your sales are settled to the bank account you designate, on the schedule disclosed at onboarding. We may delay, hold, or reserve payouts where we or our payment partners reasonably suspect fraud, excessive chargeback risk, or a violation of card network rules or applicable law.

Chargebacks and refunds. You are responsible for refunds you issue and for chargebacks initiated against your shop, including any associated fees. We will provide the transaction records available to us to help you respond to disputes, but the outcome is determined by the card networks and issuing banks, not by Springary.

You agree to comply with all applicable card network rules and with any restrictions on prohibited or high-risk business categories imposed by our payment partners.

Your data & content

You retain ownership of the data and content you put into the Service — your product catalog, orders, customer records, images, descriptions, and settings ("Your Content"). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely to operate, secure, support, and improve the Service for you.

You represent that you have the rights to Your Content, including any photographs, product images, and third-party trademarks you upload, and that it does not violate any third party's rights or applicable law.

You can export your records at any time. When your account is closed, we handle deletion as described in our Privacy Policy.

On AI featuresAI-assisted features generate suggestions — product descriptions, message drafts, summaries. Output can be inaccurate, and you are responsible for reviewing anything you publish or send to a customer.

Orders & shoppers

Springary provides the software that shops use to take and fulfill orders. The sale itself is between the shop and its customer. The shop is the merchant of record and is solely responsible for its products, pricing, substitution policies, delivery commitments, refunds, and customer service.

If you operate a shop, you agree to describe your products accurately, honor the delivery windows you advertise, publish your own refund and substitution policies, and comply with consumer protection, delivery, and messaging laws that apply to you — including obtaining any consent required before sending marketing texts or emails to your customers.

If you are a shopper who placed an order through a Springary-hosted storefront, your purchase contract is with that shop. Springary is not a party to that transaction and is not responsible for the quality, timing, or fulfillment of any order.

Acceptable use

You agree not to misuse the Service. Prohibited conduct includes:

  • Using the Service for any unlawful purpose or in violation of card network rules
  • Processing payments for a business other than the one associated with your account, or for prohibited goods and services
  • Submitting false, fraudulent, or test transactions through the live gateway
  • Uploading content that infringes intellectual property, privacy, or publicity rights
  • Sending unsolicited marketing messages to customers in violation of applicable law
  • Scraping, crawling, or automated access except as expressly permitted by our documented APIs
  • Attempting unauthorized access to accounts, systems, or data, or probing or load-testing the Service without our written permission
  • Uploading malware, or interfering with the integrity or performance of the Service
  • Reselling, sublicensing, or white-labeling the Service without our written consent

We may remove content, restrict features, or suspend access that we reasonably believe violates these rules.

Third parties

The Service integrates with third-party providers, including payment processors, mapping and routing services, email and SMS delivery, accounting tools, and hardware vendors. Your use of those integrations may be subject to the provider's own terms, and we are not responsible for their acts, omissions, availability, or pricing.

Hardware sold or recommended for use with Springary is covered by its manufacturer's warranty, not by us. Links to third-party websites or services are provided for convenience only.

Intellectual property

The Service, including its design, logos, software, and documentation (excluding Your Content), is owned by Springary and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service to operate your business.

You may not copy, modify, reverse engineer, distribute, or create derivative works from the Service without our prior written consent. Feedback and suggestions you provide may be used by us without obligation or compensation to you.

Availability & support

We work hard to keep Springary running, particularly during the holidays that matter most to flower shops. We do not, however, guarantee any specific level of uptime unless we have agreed to one with you in a separate written agreement.

We may perform scheduled maintenance and will make reasonable efforts to schedule it outside of peak retail hours and to give advance notice. Support is provided through the channels listed on our website during our published hours.

You are responsible for your own internet connection, devices, and card readers, and for maintaining a fallback procedure for taking payments if your connection or the Service is unavailable.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that reports, inventory counts, tax calculations, routing results, or AI-generated output will be accurate, complete, or suitable for your needs. You are responsible for verifying your own financial, tax, and operational records. You use the Service at your own risk.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRINGARY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Springary and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, your violation of these Terms, your sales to your customers, or your violation of any law or third-party right.

Termination

You may stop using the Service at any time and may request account closure by contacting [email protected]. We recommend exporting your records first.

We may suspend or terminate your access if you breach these Terms, if required by our payment partners or by law, or if we discontinue the Service. Except where immediate action is necessary to prevent harm or fraud, we will give you notice and a reasonable opportunity to export your data.

Sections that by their nature should survive termination — including fees owed, your data and content representations, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice within the Service at least 14 days before the changes take effect. The "Last updated" date at the top of this page will always reflect the most recent revision.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
